General
terms and conditions
Version October 24, 2026
1. Scope of application
1.1. These general terms and conditions (hereinafter “Terms and Conditions”) of Huysmans bv, located at Klein Ravels 22, 2380 Ravels (Belgium) with company number 0849.056.044 (hereinafter “Huysmans bv”, “us”), apply to all offers, works, services and agreements between Huysmans bv and the customer (hereinafter “Customer”), unless explicitly agreed otherwise. This applies both to offers, works, services and agreements in a B2C context (hereinafter “Customer-Consumer”) as well as in a B2B context (hereinafter “Customer-Business”). All other terms and conditions are explicitly rejected.
1.2. Deviations from these terms and conditions are only admissible to Huysmans bv if Huysmans bv has explicitly and in writing accepted them. In that case, the other provisions of these terms and conditions remain fully applicable. The Customer may not derive any rights from agreed deviations for other or future transactions.
1.3. Any conduct that is contrary to these Terms, even if it has occurred repeatedly, does not entitle the Customer to invoke it and is not a vested right in its own right.
1.4. The publication of these Terms and Conditions takes place by means of a notice by Huysmans bv. The Customer is at all times entitled to view the Terms and Conditions either online or in writing. In the event of poor readability or incompleteness, they are provided upon request (via email: jurgen@huysmansbv.be) delivered by Huysmans bv to the Customer.
1.5. If the Terms are drafted in a language other than Dutch, the Dutch version shall always prevail.
1.6. Should one or more provisions of these general terms and conditions be declared invalid, unlawful or unenforceable, this shall not affect or diminish the validity, legality or enforceability of the other provisions. Instead of the unenforceable part, what comes closest to what the parties would have agreed upon if they had known the unlawfulness shall be deemed to be the agreed upon part, if the unlawfulness were known.
2. General scope of the conditions
2.1 These Terms and Conditions, as determined therein, constitute the entire agreement between the Customer and Huysmans bv regarding all services requested and entrusted to Huysmans bv. These Terms and Conditions shall be deemed irrevocably accepted upon the Customer’s signature of the order form, quotation or agreement, or the confirmation in any other manner of acceptance of the offer, regardless of any prior correspondence and regardless of any other terms or any documents or forms of any kind provided by the Customer.
3. Quotes and prices
3.1. The offers and/or agreements are drawn up based on data provided by the Customer. The Customer guarantees the accuracy and completeness of the provided data. The offers have a validity period of one month. Huysmans bv reserves the right to modify its offer before acceptance. Any such modification to the offer is valid as soon as it has been communicated to the Customer. Huysmans bv cannot be held liable for its offers if the Customer can reasonably understand that the offer, or a part thereof, contains a manifest error or misrepresentation.
3.2. The agreement is only concluded when Huysmans bv has confirmed the Customer’s order or when Huysmans bv proceeds to the proper execution of the order, without Huysmans bv refusing the order unreasonably. Oral or telephone orders are always confirmed by a written agreement/contract which can also be delivered by email to the Customer.
3.3. The Customer acknowledges that it is represented by (one) authorized signatory(s).
3.4. All prices quoted are exclusive of VAT and any other taxes and duties, and exclusive of delivery unless otherwise stated. All prices and other amounts are expressed in euros. VAT and all other taxes, fees, charges or costs are always borne by the Customer.
3.5. Our prices, as stated in our offers, whether as unit prices or as fixed prices, were determined based on the tariffs, official rates, bets and social charges valid on the date of the preparation of the offer. Huysmans bv reserves the right to unilaterally change the prices if it deems it necessary to adapt them to the evolution of its fixed or variable costs resulting from changes in the structure of these costs (e.g. wages, transport costs, processing costs, changes in regulations, levies, raw material prices, energy costs, etc.). If Huysmans bv proves that before the delivery of the equipment, the wages and/or the purchase price of the equipment have increased by at least 5%, the part of the price that represents the wages and the purchase price of the equipment is increased by 5%, up to a maximum of 80% of the price.

4. Delivery and receipt
4.1. Any stated delivery time was provided only as a rough estimate and for ease of reference. No delay whatsoever can give rise to the termination of the agreement to the detriment of Huysmans bv, nor to compensation for damages. Huysmans bv is not liable for delays in delivery.
4.2. Incorrectly submitted or non-existent delivery addresses are the responsibility of the Customer and may result in additional costs, which Huysmans bv may recalculate to the Customer without prior notice. In this case, Huysmans bv may, among other things, charge the cost of resending the order as an additional cost to the Customer.
4.3. The risk of loss or damage to material passes to the Customer from the moment the goods are received by the Customer. The Customer is obliged to make the receipt of the ordered products possible. In particular, the Customer must be present and reachable at the agreed time.
5. Right of withdrawal for consumers
5.1. If a consumer purchases a product remotely, i.e. without the Customer-consumer and Huysmans bv being present at the same place (for example exclusively by telephone or email), they have the right to cancel the agreement within 14 calendar days after receiving the goods without giving any reason.
5.2. The consumer reports this by sending a clear statement to jurgen@huysmansbv.be with the topic ‘cancellation of a distance sale’.
5.3. The consumer returns the goods within 14 days of the cancellation, undamaged and in the original condition. The costs and risk of returning the goods are for the consumer.
5.4. Huysmans bv will refund the amount paid within 14 days after the cancellation. Huysmans bv will wait with the refund until the goods have been received and inspected. Any refund will be made in the same way as the initial payment.
5.5. The right of withdrawal does not apply to goods that have been made or adapted to the consumer’s specifications, and not to purchases that were concluded in person in Ravels.
6. Warranty period for consumers
6.1. The warranty period for the sale of second-hand goods to Customer consumers is 1 year. There is no form of warranty for the sale of second-hand goods to Customer retailers.
6.2. The warranty period for the sale of new goods to Customer-Traders is 1 year.
6.3. The Customer-consumer may claim a free repair or replacement of the item. Where a repair or replacement is impossible or would involve disproportionate costs for Huysmans bv, a price reduction or termination of the sales contract may be requested. In the case of a minor defect, whereby Huysmans bv reserves the right to indicate this, termination of the contract cannot be requested.
6.4. The Customer may not invoke warranty if the Customer has made or has had made changes to the goods (except by Huysmans bv), if the defect is the result of improper, careless or unskilled use, if the defect occurred due to external causes, or if the Customer has neglected the goods.
General
7. Force majeure
7.1. In the event of force majeure, which is a circumstance independent of the will of Huysmans bv or the Customer and which prevents it entirely or partially from fulfilling its obligations under the agreement, the person affected by the force majeure is not obliged to fulfill its obligations and is liable for this for the duration of the force majeure situation without any compensation being due. Force majeure suspends the agreement but does not entitle the party to terminate the agreement unless the agreement has become definitively unenforceable.
7.2. Force majeure includes, but is not limited to: war (danger), rebellion or riot, any decision by the government regarding permits and licenses, natural disasters, pandemics and the like, and any interruption due to exceptional weather conditions, transport difficulties, fire, strike and lock-out, both at Huysmans bv and its suppliers, without this list being limiting.
7.3. The loss or damage caused by accident or force majeure of the delivered item or the performed service, or even due to the customer’s own fault or the fault of persons for whom he is responsible or who he allows or tolerates, will never be the responsibility of Huysmans bv.
7.4. If the force majeure situation lasts longer or threatens to last longer than 3 months, Huysmans bv has the right to terminate the agreement immediately by registered letter, without prior recourse to a court and without any compensation. In such a case, Huysmans bv will be entitled to payment by the Customer of all goods or services already delivered and of the costs already incurred in connection with the future execution of the agreement.
8. Liability
8.1. It is expressly agreed that if Huysmans bv’s liability were to be compromised, this liability will be limited to a reduction of the price or, as the case may be and in any event up to a maximum, to the reimbursement of the outstanding payment; such reimbursement shall then be accepted by the parties as a final settlement. Any price reduction will be determined based on the severity of the errors sufficiently proven in accordance with the law.
9. Payment
9.1. All orders and deliveries from Huysmans bv are payable on the invoice date. The Customer is not entitled to claim any compensation from Huysmans bv.
9.2. In the event of total or partial non-payment by the Client-merchant on the invoice date, from the due date onwards, default interest of 12% per year shall be due automatically and without prior notice of default, as well as a compensation fee that is determined on a flat-rate basis at 12% per year.
9.3. In the event of total or partial non-payment by the Client-consumer, within the stipulated period, a default interest of 8% per year shall be due from the due date. Likewise, in this case, a lump-sum damage compensation shall also be due:
- 20, 00 euros if the net invoice amount to be paid is not more than 150,00 euros;
- 30.00 euros plus 10% of the amount due if the net amount to be paid is between 150.00 euros and 500.00 euros;
- 65.00 euros plus 5% of the amount due if the net amount to be paid is above 500.00 euros and a maximum of 2000.00 euros if the amount due is higher than 500.00 euros.
In the case of the Customer-Consumer, this will be applied after sending a reminder that takes the form of a first reminder and after the expiry of a period of 14 days starting on the third working day following the sending of the reminder.
9.4. Without prejudice to Huysmans bv’s other rights under these terms and conditions, the Customer-trader is obliged to reimburse the collection costs incurred by Huysmans bv, which go beyond the mere sending of a single demand or the mere submission of an – unaccepted – settlement proposal, the obtaining of simple information or the usual compilation of the file. These costs are determined based on the guidelines applicable at that time in the courts that are involved.
10. Complaints regarding advances or invoicing
10.1. In order to be valid, any complaint regarding advances, payments and invoices must be submitted via jurgen@huysmansbv.be within eight calendar days from the date of dispatch of the invoice, note or cost statement. The invoice date is presumed to be the date of dispatch of the invoice. Payment of the invoice without protest within the stipulated time invariably provides sufficient proof of the services provided. Proof of dispatch of the invoice is provided by our outgoing invoice book or inclusion in the VAT returns.
11. Intellectual property rights
11.1. Any intellectual or other property rights (whether registered or not) in works, goods or services owned by, used by or created by Huysmans bv or its appointed persons in the context of the execution of the agreement (including software, hardware, technology, skills, know-how and information about its use), remain the exclusive property of Huysmans bv and/or its licensors, as applicable. The delivery of goods by Huysmans bv to the Customer does not constitute any transfer of any such right.
11.2. The Customer explicitly acknowledges the full ownership of Huysmans bv of the brand name Huysmans bv and the trading name MBM, the domain names huysmansbv.be, mbmhuysmans.be, mbm-buckets.be and mbm-buckets.com, as well as the copyright and other intellectual property rights to the name, the logos and other graphic branding of Huysmans bv and the content of the website.
12. Disputes and applicable law
12.1. The Terms are governed by and drafted in accordance with Belgian law. The application of the Vienna Sales Convention of 11 April 1980 is expressly excluded.
12.2. In the event of a dispute, only the courts of the registered office of Huysmans bv shall have jurisdiction, namely the Commercial Court of Antwerp, Turnhout branch, the Court of First Instance of Antwerp, Turnhout branch, and the Second District Court of Turnhout. Only Belgian law applies.
